Terms of Service (International)
By engaging the services of Freelancing by RIFAT, you ("the Client") agree to be bound by the following terms and conditions. This document forms a legally binding contract between you and us.
Scope of Services We provide digital marketing services including, but not limited to, Facebook & Google Ads campaign management, YouTube Marketing (including Video SEO), and Social Media Management. The specific deliverables, timelines, and scope for each project will be detailed in a formal proposal or "Scope of Work" document agreed upon by both parties. Any work requested outside of this scope will be considered a new project and will require a separate agreement and additional fees.
Payment Policy
- Currency: All fees are quoted and payable in United States Dollars (USD) unless otherwise mutually agreed in writing.
- Service Fees: Our management or service fees are separate from the advertising budget. For ongoing services, 50% of the first month's service fee is due upfront, with the remainder billed at the end of the month. For one-time projects, payment terms will be specified in the proposal.
- Advertising Spend (Ad Spend): The budget for paid advertising campaigns (e.g., on Facebook, Google) must be paid 100% in advance by the Client. This budget is a direct cost paid to the advertising platform and is non-refundable once spent.
- Third-Party Costs: The Client is responsible for all third-party costs, including but not limited to stock photography, software subscriptions, or external tools required for the project. These costs will be pre-approved by the Client.
- Late Payments: Invoices are due upon receipt. Payments not made within 15 days of the due date may result in a suspension of services and may incur a late fee of 5% per month on the outstanding amount.
Client Responsibilities
- Provision of Materials: The Client must provide all necessary information, content (text, images, videos), and access to required accounts in a timely manner. Delays from the Client's side may result in project timeline extensions.
- Content Ownership: The Client guarantees that all materials provided to us are owned by the Client or that the Client has the legal right to use them. The Client will hold us harmless from any claim or suit arising from the use of such materials.
- Feedback: The Client agrees to provide timely feedback and approvals to ensure the project progresses efficiently.
Communication Email shall be the primary method of communication between the Client and us. Our official business hours are based on the Bangladesh Standard Time (GMT+6) zone. We are committed to responding to all inquiries within 24-48 business hours.
Disclaimer on Results While we employ proven strategies and best practices, we cannot and do not guarantee specific results such as a specific number of sales, leads, or a particular return on investment (ROI). The success of a campaign is dependent on many external factors, including market conditions, competition, and product/service quality.
Intellectual Property & Portfolio Upon full payment, the Client will own the finalized deliverables (e.g., ad creatives, reports). However, we retain the right to use the project deliverables and a summary of the results for our portfolio and marketing purposes, unless a non-disclosure agreement (NDA) is signed beforehand.
Limitation of Liability Our liability is strictly limited to the total amount of service fees paid by the Client for the specific project in question. We are not liable for any account suspensions or restrictions imposed by third-party platforms (e.g., Facebook, Google). While we will provide guidance and support in such cases, the ultimate responsibility for platform policy compliance lies with the Client.
Termination Either party may terminate this agreement with 30 days' written notice. The Client is responsible for paying for all work completed up to the termination date. We reserve the right to terminate the agreement immediately if the Client breaches any of these terms.
Governing Law & Dispute Resolution This agreement shall be governed by and construed in accordance with the laws of Bangladesh. Any dispute arising out of this agreement shall first be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute will be settled through binding arbitration conducted in English.
Consent By hiring Freelancing by RIFAT and making the initial payment, you confirm that you have read, understood, and fully agree to be bound by all of the terms and conditions outlined above.
